What does the cover do?​

Warranty and Indemnity

The main purpose of warranties and indemnities cover is to protect a company which is involved in a merger or an acquisition from a financial loss or liability. Our W&I insurance provides cover for historic unknown liabilities arising from a warranty breach by the seller, which results in loss to the buyer. A warranty breach is where one or more of the statements was untrue when given by the seller. This cover can be purchased by either the buyer or the seller.​ A seller may actually make buyer’s W&I cover a condition of an acquisition, as it can safeguard the seller against any liability following the sale. It can demonstrate a show of faith by the buyer, especially if the seller will be remaining with the business after its sale.

Tax & Contingent Liability

This provides cover in the event that the legal interpretation of a tax requirement or other liability is challenged or overturned, resulting in a demand for payment.

Richard is the head of M&A Underwriting within the Global Corporate & Specialty division of AVIVA. He is a UK-qualified lawyer with 20 years of professional experience as an M&A lawyer, M&A insurance underwriter and M&A insurance broker.

Richard has led several mid-market and large-cap cross-border and UK M&A deals across various sectors (with a particular focus on prime real estate, infrastructure and financial services).
